SALES CONTRACT

The Seller agrees to sell and the Buyer agrees to buy the undermentioned commodity on the terms and conditions stated below:

10. Terms of Payment

Cash on delivery (COD): The Buyer shall pay to the Seller total amount within 30 days after the receipt of the goods.

11. Quality Guarantee

The Seller shall guarantee that upon Delivery all goods to be delivered by the Seller shall be completely new and shall comply in all material respects with Contract.

12. Claim

The Buyer shall make a claim against the Seller by the further inspection certificate and all the expenses incurred therefore shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fails to reply within 10 days after the Seller received the Buyer's claim.

13. Effectiveness

The contract shall come into effect immediately when it is signed by duly authorized representatives of both parties.

14. Amendment

This contract shall not be changed verbally, but only by a written instrument signed by parties.

1．这是一份相对简单的合同，由标题、前言部分、正文和尾部组成。标题全部大写，前言部分由合同编号、日期和当事人部分组成，正文包括各条款，尾部比较简单，没有证明部分，只有签名部分。

2．under-mentioned和above-mentioned分别是指“下文提到的”和“上述，上文提到的”。

3．in respect with和in respect of是合同术语，是指“在……方面”。

4．claim在合同里一般是指“索赔”，还可以用compensation，“提出索赔”的表达有“make a (one's) claim”，“register a (one's) claim”，“file a (one's) claim”，“lodge a (one's) claim”，“bring up a (one's) claim”，“make a claim with (agaist) sb.”，“make a claim for (on) sth.”等等，claim还可以作为动词使用，如：claim for indemnity（要求索赔），claim for compensation（要求索赔）。

10．货到付款

买方在收到货物后30天内将全部货款支付给卖方。

11．质量保证

卖方保证其所交付的货物在交货时是全新的，并且在所有材料方面符合本合同规定。

12．索赔

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔，由此引起的全部费用由卖方负担。若卖方收到上述索赔后10天内未给予回复，则认为卖方已接受买方索赔。

13．生效

本合同自双方授权代表签字之日起生效。

14．修改

本合同不得以口头方式修改，而须经双方签署书面文件后方可修改。
