    在修改合同过程中,双方应该发扬相互理解,相互妥协的精神,为了双方的利益商议、修改有关内容。

    在讨论合同、协议细节时,必须坚持细心、耐心、诚心,力求使对方理解并接受自己的观点。合同的每一个字,甚至一个标点都具备法律含义,因此必须一丝不苟,这样做符合双方利益。对于双方之间的分歧,不能一味坚持自己的立场,有时候适当地妥协才是促成谈判最有效的方法。

    not…until表示的是“直到……才”的意思

    That's not the point.

    under your command是指“听某人指挥”,commend在这里是一个名词,表示的是“控制;指挥”的意思。

    当妥协让步的时候你会说

    1.That's acceptable to our side.

    那一点我方可以接受。

    2.I can live with that.

    这我可以接受。

    3.We'll see to that.

    我们会注意的。

    see to在此处可不是指去看什么,而是指“注意”的意思,有点类似有pay attention to。

    4.We don't have any different opinions.

    我们没有什么意见。

    5.We have no questions about all the terms.

    我们对所有的条款都没有意见。

    6.We've agreed on all the major points.

    我们已就各个要点取得一致意见了。

    7.We've settled all other disputes so far.

    到目前为止,所有其他争论我们都已解决了。

    8.Business is closed at this price.

    交易就按此价敲定。

    9.There's no question about that.

    没有问题。

    10.I think you have yourself a deal.

    我们就这么说定了!

    in control表示“控制;管理”,形近的表达in the control of则表示的是“在……的控制之下”。

    场景应用

    布朗先生表示增加罚则条款后就无法签订协议,周先生最终在这一点上选择了妥协。

    A:Do you provide a warranty with the product?

    B:We don't provide any specific warranty.

    A:In that case, we may have to include a penalty clause to cover the cost of any repairs.

    B:I'm sorry. I cannot afford to sign a contract with such a penalty clause.

    A:Mr. Brown, perhaps I can ask my company to reduce the terms of the penalty clause. How about the rest of the contract?

    B:We accept in principle but we will make our decision after you've received more information from your company.

    A:So, you will agree to sign after I hear from my company.

    B:Yes, I think so.

    A:你们对产品提供保证吗?

    B:我们不做任何特别的保证。

    A:那样的话,我们得外加罚则以涵盖修理费用。

    B:很抱歉,若加上这么一条罚则,我无法签此条约。

    A:布朗先生,或许我可以请求我的公司减少罚则条款。合约的其他部分如何呢?

    B:我们原则上同意但得等您接到贵公司进一步消息之后才能做决定。

    A:那么,等我收到公司的回音后,您就同意签约吗?

    penalty clause表示的意思是“罚则条款”,其中penalty并非形容词,而是名词,表示的是“处罚;罚金”的意思。

    面对对方的强硬态度,卖方选择在价格上进行一定的妥协,以便促成合同的签订。

    A:We have to discuss about payment in the contract.

    B:Do you have any comment on this clause?

    A:Yes, I think the expenses of shipment should be paid by you.

    B:What? Are you kidding? The expenses should be paid by purchaser. That's international practice. We can't break it.

    A:But your price of the goods is too high. If you won't decline the price of products, you should pay the expenses of shipment.

    B:Your view does not have a leg to stand on. We can't agree with the alterations and amendments to the contract.

    A:We'd like you to consider our request once again. Or we'll be difficult to conclude the transaction.

    B:OK. We will cut down the price by 2%.

    A:That's great. Thank you.

    A:我们得讨论一下合同中的付款问题。

    B:你对这一条款有什么看法?

    A:是的,我认为货运的费用应该由你方来出。

    B:什么?你是在开玩笑吗?货运费用应由买方来出,这是国际惯例。我们不能违背。

    not have a leg to stand on(论点或案例等)站不住脚

    Not have a leg to stand on字面意思是“没有一条腿可以站立”,后被引申为“(论点或案例等)站不住脚”的意思。多用语于口语,一般仅指案例、论点等站不住脚,亦即“完全缺乏根据”之意。例如:You may think you're right, but you don't have a leg to stand on.(你可能认为自己有理,但你的说法是站不住脚的。)

    其变体形式是without a let to stand on.
